The terms "Close," "Node," "we," "us," and "our" refer to Close, Inc. and its affiliates and subsidiaries. This Privacy Policy explains how we may collect, use, and disclose information obtained through the Service (as defined below). We do not rent, sell, or share Personal Information about you with any unaffiliated entities or individuals for their direct marketing purposes without first obtaining your permission. By using the Service, you authorize us to gather, parse, and retain data according to the terms of this Privacy Policy.

Personal Information Collection. In order to become a Member, you must provide Personal Information, such as your name and e-mail address. We may also collect information such as additional e-mail addresses and company affiliations and titles. You may choose to link with us your social media accounts, such as Google, Facebook, and LinkedIn. We may collect Personal Information from each social media account you so link. For example, if you connect to Node using your LinkedIn credentials, we may collect any Personal Information you have made available on your LinkedIn profile, such as your name, title, profile picture and contact list.

Making Payments. When making payments through the Service, you may need to provide Personal Information to our third-party service providers, such as your credit card number. We may collect any such Personal Information you provide.

Customer Support. We may collect any Personal Information you provide during your communications with our customer support team.

Cookies, Automatic Data Collection and Related Technologies. We may collect and store any information that is automatically generated when you use the Service, including your preferences and anonymous usage statistics.

When you use the Service, we and our third-party service providers may receive and record information from your browser, including your IP address, cookies and other similar data. Blocking and deleting cookies, while an option on most internet browsers, may cause the Service to work improperly.

Children's Privacy

We do not knowingly collect, maintain or use, nor do we want to collect, maintain or use, any information from children under the age of 13. No part of the Service is directed to children under the age of 13. If we learn that we have collected information from such an individual, or allowed such an individual to create an account with us, we will take steps to delete such information and/or account from our systems.

If you are under 18 years of age, you represent and warrant that you have obtained the consent of your parent or guardian to access and use the Service.

If you learn that your child has provided us with any information at all without your consent, we would appreciate it if you alert us at team@node.io .

International Users

By using the Service from a location outside the United States, you will be transferring certain data to the United States. For the sake of clarity, in the event of a dispute arising out of or related to this Privacy Policy, you hereby agree to submit to final and arbitration according to the terms of the below section titled "Arbitration".

If you are using the Service from the European Union or any other region with laws governing data collection and use, please note that you are agreeing to the transfer of your information to the United States and as such are subjecting yourself to the privacy laws of the United States. By providing any information you consent to any transfer and processing in accordance with this Policy.

Arbitration

You agree that you shall submit any and all complaints to Node prior to initiating any arbitration proceedings as outlined below in order to allow Node an opportunity to satisfy any such complaints before either party must incur the expenses of arbitration. In the event that you and Node cannot agree, any controversy, claim or dispute arising out of or related to your use of the Service or this Privacy Policy or the interpretation, performance, or breach hereof, including but not limited to alleged violations of state or federal statutory or common law rights or duties, shall be resolved solely and exclusively by final and binding arbitration initiated and conducted according to the rules of the American Arbitration Association in effect as of the date hereof (the "Arbitration Rules"). The arbitration shall be conducted in the County of Los Angeles in the State of California by three (3) neutral arbitrators (one arbitrator selected by each party, and a third selected by the first two) and the members of any appeal panel shall be retired judges or justices of any California state or federal court. Notwithstanding the foregoing, we may seek injunctive relief or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights, confidential information or as required to prevent irreparable harm.

You also acknowledge and understand that, with respect to any controversy, claim or dispute arising out of or related to your use of the Service or this Privacy Policy or the interpretation, performance, or breach hereof, including but not limited to alleged violations of state or federal statutory or common law rights or duties:

  • YOU ARE GIVING UP YOUR RIGHT TO HAVE A TRIAL BY JURY; AND
  • YOU ARE GIVING UP YOUR RIGHT TO SERVE AS A REPRESENTATIVE, AS A PRIVATE ATTORNEY GENERAL, OR IN ANY OTHER REPRESENTATIVE CAPACITY, OR TO PARTICIPATE AS A MEMBER OF A CLASS OF CLAIMANTS, IN ANY LAWSUIT INVOLVING ANY SUCH DISPUTE.
